Amendment to Fifth Street Parking Garage Agreement

Authorize the City Manager to execute on behalf of the City an amendment to Agreement No. 9831 with Napa County, Channel Properties Inc., Napa Mill, LLC, and Andrea Schrader reducing the number of joint use spaces by one in the Fifth Street Parking Garage to accommodate an Electric Vehicle (EV) Charging station capital project.

DISCUSSION:
On March 17, 2009, the City of Napa, Napa County, Channel Properties Inc., Napa Mill, LLC and Andrea Schrader, an individual, entered into Agreement No. 9831 for the operations and maintenance of the Fifth Street Parking Garage. In addition to establishing the operational rules for the garage, such as the hours of operation, security, and signage, the agreement also establishes the allocation of parking spaces to individual participants or joint public use. Currently, the Fifth Street Parking Garage has 85 City Use parking spaces and 25 joint use spaces, or 110 total spaces on the First Floor. Additional floors include both joint use and individual participant spaces.
Napa County approached the partners with a proposed Capital Improvement Project to install 3 Electric Vehicle (EV) Charging Stations on the First Floor of the Garage. This project was approved to move forward using Garage maintenance funds previously collected and managed by the County. More recently the County approached the partners with a desire to expand the number of new EV Charging stations to 6 and allow for the support of 10 additional EV Charging parking spaces (9 regular and 1 ADA space). The County has agreed to fund the increased cost of the expanded project without additional funding from the partner’s Garage Fund or additional costs being allocated to the City or other partners.
To accommodate this expansion of EV Charging spaces, the total number of parking spaces will be adjusted with the number of spaces on the first floor reduced from 110 total to a net 109 spaces after removing two joint use spaces and adding 1 ADA space. As the City Council has included Climate Action and Sustainability as a priority in the current and coming fiscal years, the City Manager’s Office, in consultation with the City’s Parking Division, are supportive of this modification to the County’s project.
Additionally, the proposed amendment will include clean up language to remove Andrea Schrader as a partner and assign spaces to the Napa Mill and Channel Properties as well as other minor clean-up language.
If approved, the County intends to begin bidding on this project in early June.
FINANCIAL IMPACTS:
Original estimated costs are included in the Parking Garage funds previously contributed. All project costs of the expanded Capital Project will be assumed by Napa County.

The City Manager has determined that the Recommended Action described in this agenda report is not subject to CEQA Guidelines Section 15060(c).
