Approve and authorize the City Manager to execute on behalf of the City an agreement with Walker Consultants in an amount not to exceed $223,195 to provide consultant services for the Downtown Parking Structure Feasibility Study.

DISCUSSION:
Adequate and strategically located parking is critical to supporting downtown Napa’s economic vitality and long-term development goals. In response to existing parking constraints and anticipated future growth, City Council adopted a resolution (R2024-118) on November 19, 2024, authorizing a Parking Structure Feasibility Study and adjusted the Parking Development Impact Fee budget by $200,000 directing staff to commence the study.
In November 2025, the City issued a Request for Proposal (RFP) seeking qualified consulting teams to evaluate the feasibility of developing a new parking structure at two potential downtown locations: Lot A (including parcel numbers 003-211-006 and 003-211-010) and the Cinedome/Lot X area (including parcel numbers 003-172-009, 003-173-009, and 003-144-009). The purpose of the study is to provide City Council with sufficient technical, financial, and strategic information to determine whether and where the City should proceed with a future parking structure, and to establish a clear framework for subsequent project delivery steps.
Following evaluation of proposals and interviews, Walker Consultants was selected as the most qualified firm based on their specialized parking expertise, extensive municipal experience, and demonstrated understanding of Napa’s downtown context. City staff worked with Walker to refine and finalize the scope of services to align with the City’s objectives and available funding.
The final scope of work includes two integrated components:
• Phase 1A - Feasibility and Site Recommendation, which evaluates both potential sites through parking demand analysis, site and context review, conceptual layouts, cost comparisons, and targeted stakeholder engagement, culminating in a recommended preferred site for City Council consideration; and
• Phase 1B - Preliminary Design Documents, which advances the preferred site to an early schematic level sufficient to support cost modeling, funding and financing analysis, and evaluation of future project delivery options.
Together, these phases provide the City with a comprehensive planning and feasibility package that will allow City Council to make informed decisions regarding site selection, potential funding strategies, potential environmental impacts, and whether to proceed with a future parking structure project. The Phase 1B deliverables are intended for planning and decision-making purposes only and are not bridging documents nor a commitment to any specific procurement or construction approach.
The anticipated timeframe to complete the scope of work is 6-8 months for both Phase 1A and Phase 1B. The proposed budget for the scope of work is $223,195.
FINANCIAL IMPACTS:
Funding for the Parking Structure Feasibility Study will be paid from the Parking Impact Fee Fund under City Council Resolution R2024-118 that allocated $200,000 consistent with the use and intent of the fee established by Ordinance 2005-3. The balance of $23,195 will come from Planning Professional Services.
CEQA:
The Community Resources and Development Director has determined that the recommended action described in this agenda report is exempt from CEQA pursuant to CEQA Guideline 15306 as information collection as part of a study leading to an action that the City has not yet approved, adopted, or funded for construction.
