A Special Joint Meeting for the City Council of the City of Napa and the Board of  
Directors of the City of Napa Industrial Development Authority was called on Tuesday,  
August 5, 2025 at 3:30 p.m. to be held at City Hall Council Chambers, 955 School Street,  
Napa, California, for the purpose identified on the Agenda. This Special Joint Meeting  
was called in accordance with California Government Code Section 54956.  
Mayor Sedgley called to order the joint special meeting of the two  
separate bodies. Roll call was taken for each, and a joint staff report was  
provided. Following the report, each body took separate action, and the  
joint meeting was adjourned.

Interim Finance Director Heather Ippoliti provided the staff report.  
Mayor Sedgley called for public comment; there were no requests to  
speak.  
Discussion was turned over to members of Council and the Board of  
Directors. Brief individual comments and questions ensued.  
A motion was made by Vice Mayor Luros, seconded by Councilmember Painter  
to adopt Resolution R2025-086 approving and authorizing the City Manager to  
execute a Joint Exercise of Powers Agreement with the City of Napa Industrial  
Development Authority and establishing the City of Napa Joint Public Finance  
Authority. The motion carried by the following vote:
