Approve and authorize the City Manager to execute on behalf of the City Amendment No. 1 to Agreement No. 2024-648 with D. Augustine & Associates, Inc. for a short-term marketing campaign to promote overnight visitation to the City of Napa during the summer months in the increased amount of $50,000 for a total contract amount not to exceed $766,458.

DISCUSSION:

The Napa Tourism Improvement District fund is managed by the City, with oversight by the Napa Tourism Improvement District Local Governing Committee (“LGC”), as defined by the Napa Valley Management District Plan (“MDP”). At a meeting held on June 18, 2024, the City Council approved the FY 2024-2025 Budget and Work Plan for the Napa TID, including a Service Agreement with D. Augustine & Associates, Inc. in the amount of $716,458 for Marketing, Advertising, Public Relations, Event Planning & Related Services for Tourism Promotion. The Augustine Agency has been performing that contract as agreed to and providing monthly reports to the LGC.

 

At the regular LGC meeting on March 25, 2025 the LGC directed staff to work with the Augustine Agency to design an additional campaign to drive visitation during the upcoming summer months. That campaign is outlined in ATCH 1, “Amendment No. 1 to Agreement No. C2024-648” and is in the increased amount of $50,000.

 

The cumulative total compensation payable to The Augustine Agency will not exceed $766,458 (based on $716,458 for the original Agreement plus $50,000 for this Amendment).

 

FINANCIAL IMPACTS:

There is no financial impact on the City’s General Fund. The not-to-exceed amount of this contract amendment is being pulled from underspent budget reserves in the approved annual TID budget.

 

CEQA:

The Community Development Director has determined that the Recommended Action described in this Agenda Report is not subject to CEQA, pursuant to CEQA Guidelines Section 15060.
